Terms of Service

These Terms govern your use of all Renovate Audio products, software, and services.

Welcome to Renovate Audio. These Terms of Service ("Terms") govern your use of all Renovate Audio products, software, websites, plugins, applications, APIs, and related features and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Certain products or features may be subject to additional Supplemental Terms, which will be made available at the point of access or purchase. Where Supplemental Terms apply, they are incorporated into these Terms by reference.

If you do not agree to these Terms, you may not use the Service.


1Definitions

"Renovate Audio," "we," "us," or "our" refers to the operator of the Service.

"Service" means, collectively, all Renovate Audio products and services — including but not limited to: web applications, desktop software, VST/VST3 and other audio plugins, AI generation tools, cloud storage and library features, APIs and backend services, the Renovate Audio website, user accounts, subscription plans, credit systems, and any future products or features offered under the Renovate Audio brand. Where specific products or features have Supplemental Terms, those terms apply in addition to these Terms.

"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.

"Content" refers to any data, text, prompts, audio, files, or other materials you submit, upload, or generate through the Service.

"Supplemental Terms" means additional terms that apply to specific Renovate Audio products, features, or promotions, and which are incorporated into these Terms by reference when applicable.


2Eligibility

You must be at least 13 years old to use the Service. If you are located in the European Economic Area (EEA), you must be at least 16 years old. By using the Service, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.


3Account Registration

Access to certain features of the Service requires an account. You agree to:

Provide accurate and complete registration information

Keep your account credentials secure and confidential

Notify us immediately of any unauthorized access or suspected security breach

Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period consistent with our data retention practices.


4The Service and AI Features

4.1 AI-Powered Generation

Where AI generation features are available through any part of the Service:

Outputs are generated by AI models and may vary in quality, style, and creative or musical suitability

We may use third-party AI providers to process requests; those providers are subject to their own terms and our data protection agreements

Output quality, accuracy, and fitness for any particular purpose are not guaranteed

Generation results are subject to technical limitations and may change across model or software versions

4.2 Content Inputs and Moderation

When submitting prompts, parameters, uploaded files, or other inputs to any AI feature:

Your inputs may be automatically or manually reviewed for policy compliance

We reserve the right to block, modify, or reject inputs that violate these Terms

Inputs requesting recreations of copyrighted songs, imitations of specific artists (living or deceased), or other protected works may be rejected

You are solely responsible for ensuring that any files or data you upload do not infringe third-party rights

We are not responsible for how you use AI-generated outputs — ensuring lawful and ethical use is your responsibility

4.3 Previews, Exports, and Output Rights

Certain features may offer a preview of generated outputs before a final export or download is completed

Previewing may be free; exporting, downloading, or unlocking full outputs may consume credits or require a paid plan, as disclosed in the interface

Outputs you export or download are yours to use in your projects, subject to these Terms and any applicable third-party model or licensing terms

Temporary outputs (such as undownloaded previews) are not permanently retained and may be deleted automatically after a short period

Note on AI Output Ownership: We do not claim ownership of outputs you generate through the Service. However, because outputs are created by AI, they may not be eligible for copyright protection under applicable law. Renovate Audio makes no representation or guarantee regarding the copyright status of AI-generated outputs. You are responsible for understanding the intellectual property status of AI-generated content in your jurisdiction before using outputs commercially.

4.4 Cloud Storage Features

Certain Services include optional cloud storage features available to subscribers or qualifying users:

When you export or save an output, a copy may be stored in our cloud system and linked to your account

Cloud storage is a convenience feature, not a permanent backup or archival service

Non-subscribers typically receive outputs locally; cloud copies are not stored for non-subscribers unless otherwise stated for a specific product

If your subscription expires or is canceled:

  • Access to cloud-stored files may be paused or revoked
  • Export history and metadata may be retained for record-keeping, but file access may be suspended
  • Files may be deleted after a reasonable retention period at our discretion
  • Cloud access may be restored by reactivating your subscription

We may delete stored files at any time following subscription expiration, account deletion, or for security, legal, or operational reasons. You are responsible for maintaining your own local backups of any outputs you wish to keep long-term.

4.5 Supplemental Terms

Certain Renovate Audio products or features may be governed by Supplemental Terms in addition to these Terms. Where Supplemental Terms exist, they will be made available at the point of access or purchase for the applicable product or feature. In the event of a conflict between these Terms and applicable Supplemental Terms, the Supplemental Terms govern with respect to that product or feature only.


5Credits, Subscriptions, and Billing

5.1 Payment Models

Renovate Audio products and services may be offered under several purchasing models, including:

Credits — Digital units consumed to perform exports, downloads, or certain feature actions

Subscriptions — Recurring plans that may include credits, cloud storage access, and other premium features

One-Time Purchases — Non-recurring payments for software licenses, plugin purchases, sample packs, or other items

Pricing, credit costs, and features included in each model are displayed in the product interface or at the point of purchase and may change over time.

5.2 Credit System

Where a credit-based system applies:

Credits are tied to your account, have no cash value, and are non-transferable

Credit costs per action or feature are displayed in the interface and may vary by product

New users may receive a limited number of promotional or onboarding credits

Promotional credits may carry restrictions, usage limitations, or expiration dates as described at the time of issuance

5.3 Subscriptions

Subscriptions renew automatically at the end of each billing period unless canceled. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current paid billing period; you retain access to subscription benefits through that period.

5.4 Purchasing Credits or Plans

By purchasing credits, subscriptions, or other paid features, you agree to:

Pay all applicable fees at the time of purchase

Provide accurate and current payment information

Authorize charges through your chosen payment method

5.5 Refunds

Credits and subscription fees are generally non-refundable once purchased or the billing period has begun

Renovate Audio may offer a satisfaction guarantee for first-time plan purchases; where offered, those specific terms govern and may be found at checkout

If a generation fails due to a verified technical error on our end, we may, at our discretion, restore the credits used — we do not guarantee restoration for all failures

5.6 Abuse and Fraud

We reserve the right to suspend or terminate accounts that engage in:

Credit fraud, manipulation, or unauthorized credit acquisition

Chargebacks without valid cause

Attempts to exploit the credit system, subscription features, or payment processing

Any other violation of these Terms


6Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws or regulations

Infringe on the intellectual property, privacy, or other rights of others

Upload, transmit, or generate content that is illegal, harmful, threatening, or offensive

Attempt to reverse engineer, decompile, or disassemble our software

Circumvent security measures, content filters, or access restrictions

Use automated systems to abuse, scrape, or overload the Service (e.g., bots, crawlers)

Impersonate others or misrepresent your identity or affiliation

Interfere with the proper functioning, integrity, or availability of the Service

Harvest, collect, or store other users' personal data without their consent

We reserve the right to investigate violations and take appropriate action, including removing Content, suspending or terminating accounts, and reporting to law enforcement where warranted.


7Intellectual Property

7.1 Ownership of the Service

Renovate Audio retains all rights, title, and interest in:

All Service software, applications, plugins, and tools — both current and future

Our website, branding, user interface design, and documentation

All related intellectual property, including patents, trademarks, trade secrets, and copyrights

7.2 Your Content and Outputs

You retain ownership of:

Prompts, parameters, and other inputs you submit to the Service

Original content or files you upload or provide

Outputs you generate and export through the Service, subject to the AI ownership note below

By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

Process your inputs solely to provide and deliver the Service

Temporarily store generated outputs for delivery and technical purposes

Store and process exported outputs and related metadata to provide cloud storage, account history, subscription services, security, and other product features where applicable

We do not claim ownership of outputs you generate. However, because outputs are created by AI, they may not be eligible for copyright protection under applicable law. Renovate Audio makes no representation or guarantee regarding the copyright status of AI-generated outputs.

You are responsible for understanding the intellectual property status of AI-generated content in your jurisdiction before using outputs commercially.

7.3 User Responsibilities

You represent and warrant that:

You have the rights to submit any content or files you upload to the Service

Your use of the Service does not infringe any third-party intellectual property, privacy, or other rights

You will not use outputs in a manner that violates these Terms or applicable law

7.4 Output Data Retention

Temporary outputs (e.g., undownloaded previews) are not permanently retained and may be deleted automatically

Outputs stored in cloud features are subject to the retention terms described in Section 4

Renovate Audio does not guarantee permanent storage or archival of any generated outputs

We are not liable for loss of stored outputs due to subscription expiration, deletion, technical failure, or user inactivity


8Third-Party Services

The Service relies on third-party providers for certain functionality, which may include:

AI model and generation providers

Payment processors

Cloud hosting and infrastructure providers

Analytics, monitoring, and performance tools

Email and customer communication services

We are not responsible for outages, errors, or performance issues caused by third-party services, or for third-party privacy practices beyond what is described in our Privacy Policy. Your use of third-party payment processors may also be subject to their own terms and privacy policies.


9Disclaimers

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Outputs will meet your expectations, requirements, or be fit for any particular purpose
  • Any errors or defects in the Service will be corrected
  • The Service will be compatible with all systems, DAWs, or third-party software

AI-generated content is inherently variable and may produce unexpected results. We make no guarantees regarding the quality, accuracy, originality, or creative suitability of generated outputs.


10Limitation of Liability

To the fullest extent permitted by law, Renovate Audio shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, business opportunities, or goodwill

Damages resulting from your use of or inability to use the Service

Damages caused by third-party services, providers, or failures

Loss of generated outputs or stored files due to technical failure, expiration, or deletion

Our total aggregate liability for any and all claims arising under or related to these Terms or your use of the Service shall not exceed the greater of: (a) the total amount you paid Renovate Audio in the twelve (12) months preceding the claim, or (b) $100 USD.


11Indemnification

You agree to defend, indemnify, and hold harmless Renovate Audio, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service

Your violation of these Terms

Your infringement of any third-party right, including intellectual property, privacy, or publicity rights

Content you submit, upload, or generate through the Service


12Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

Violation of these Terms

Fraudulent, abusive, or harmful behavior

Legal or regulatory requirements

Discontinuation of all or part of the Service

Upon termination:

  • Your access to the Service and your account will cease
  • Unused credits will be forfeited and are non-refundable
  • Access to cloud-stored files and features will be revoked; stored files may be deleted without recovery
  • Provisions that by their nature should survive termination (including Sections 7, 9, 10, and 11) will remain in effect

13Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

Post the updated Terms on our website

Update the "Last Updated" date

Notify you by email or through the Service where practicable

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.


14Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.


15Dispute Resolution

If you have a dispute with us, please contact us first at [email protected]. We will make reasonable efforts to resolve your concern informally.

If we are unable to resolve the dispute informally, either party may bring the claim in a court of competent jurisdiction, subject to applicable law.


16Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Supplemental Terms, constitute the entire agreement between you and Renovate Audio regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
